These Terms of Service ("Terms") govern access to and use of the Taylor Ledgerwood Photography website, online galleries, online store, digital products, photography and videography services, and any other products or services provided by Taylor Ledgerwood Photography ("Company," "we," "our," or "us").

By accessing or using our website, viewing our galleries, purchasing products, booking services, downloading digital content, or otherwise interacting with Taylor Ledgerwood Photography, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you should discontinue use of the website and refrain from purchasing products or services.

1. Definitions

For purposes of these Terms, the following definitions apply:

1.1 "Company" refers to Taylor Ledgerwood Photography.

1.2 "Website" refers to all websites, online galleries, online storefronts, client portals, webpages, social media pages, and digital platforms owned or operated by Taylor Ledgerwood Photography.

1.3 "Content" includes, but is not limited to, photographs, videos, graphics, logos, branding, text, artwork, designs, layouts, digital downloads, marketing materials, educational materials, and all other intellectual property displayed on or made available through the Website.

1.4 "Services" refers to all photography, videography, editing, digital delivery, print fulfillment, consultation, educational, commercial, branding, event coverage, and any additional professional services offered by Taylor Ledgerwood Photography.

1.5 "Products" refers to digital downloads, photographic prints, albums, wall art, framed products, videos, digital media, merchandise, educational materials, and any other physical or digital items made available for purchase.

1.6 "Client" or "Customer" refers to any individual or entity purchasing products or services from Taylor Ledgerwood Photography.

1.7 "User" refers to any person who visits, browses, accesses, or otherwise uses the Website or any Content, regardless of whether a purchase is made.

2. Acceptance of These Terms

By accessing or using the Website, purchasing Products, booking Services, or viewing any client gallery, you agree to be legally bound by these Terms, our Privacy Policy, and any additional agreements or contracts entered into between you and Taylor Ledgerwood Photography.

Your continued use of the Website constitutes your acceptance of any modifications made to these Terms.

If you are using the Website on behalf of a business, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3. Eligibility

The Website and Services are intended for individuals who are at least eighteen (18) years of age.

Individuals under the age of eighteen may only use the Website, purchase Products, or book Services with the knowledge and consent of a parent or legal guardian.

By using the Website, you represent and warrant that you meet these eligibility requirements.

4. Website Use

Taylor Ledgerwood Photography grants Users a limited, non-exclusive, non-transferable, and revocable license to access and use the Website solely for lawful personal or business purposes related to learning about, purchasing, or utilizing our Products and Services.

Nothing contained on the Website grants ownership of any Content or intellectual property.

Users agree not to use the Website in any manner that:

  • Violates any applicable law or regulation;

  • Infringes upon the intellectual property rights of Taylor Ledgerwood Photography or any third party;

  • Interferes with the operation or security of the Website;

  • Attempts to gain unauthorized access to any portion of the Website, servers, or databases;

Taylor Ledgerwood Photography reserves the right to suspend or terminate access to the Website at any time, without prior notice, for conduct believed to violate these Terms or applicable law.

5. User Accounts and Client Galleries

Certain portions of the Website, including client galleries, favorites lists, shopping carts, and password-protected content, may require access credentials or unique links.

Users are responsible for maintaining the confidentiality of passwords, gallery links, and other access credentials.

Sharing password-protected galleries is done at the Client's discretion. However, Taylor Ledgerwood Photography is not responsible for unauthorized access resulting from the Client's voluntary sharing of gallery links or passwords.

Clients are responsible for reviewing gallery contents, downloading purchased digital products within the time provided, and ensuring that gallery access information remains secure.

Taylor Ledgerwood Photography reserves the right to modify, archive, deactivate, or remove online galleries after the applicable delivery period or expiration date.

The Company does not guarantee indefinite storage or permanent availability of any gallery, photograph, video, or digital file.

6. Modifications to These Terms

Taylor Ledgerwood Photography reserves the right to modify, revise, or update these Terms at any time to reflect changes in business practices, legal requirements, technology, or Services offered.

Updated versions will become effective upon publication to the Website unless otherwise stated.

Continued use of the Website following the publication of revised Terms constitutes acceptance of those revisions.

Users are encouraged to review these Terms periodically to remain informed of any updates.

7. Intellectual Property Rights

All photographs, videos, digital media, graphics, logos, trademarks, service marks, written content, website design, branding, educational materials, marketing materials, and all other creative works or materials made available by Taylor Ledgerwood Photography (collectively, the "Content") are and shall remain the exclusive intellectual property of Taylor Ledgerwood Photography unless otherwise expressly stated in writing.

All Content is protected by applicable United States and international copyright, trademark, and intellectual property laws.

Nothing contained within these Terms, nor any purchase of Products or Services, shall be interpreted as transferring ownership of any intellectual property rights to a Client, User, or third party.

All rights not expressly granted under these Terms are reserved exclusively by Taylor Ledgerwood Photography.

8. Copyright Ownership

Taylor Ledgerwood Photography is and shall remain the sole and exclusive owner of all copyrights in every photograph, video, edited file, raw file, digital negative, preview image, proof, graphic, design, and other creative work created by the Company.

The purchase of photography services, videography services, digital downloads, prints, albums, wall art, or any other Product or Service grants the Client only the rights specifically described in these Terms or in a separate written agreement.

No copyright ownership is transferred through the purchase of any Product or Service unless expressly assigned through a written copyright assignment signed by Taylor Ledgerwood Photography.

Nothing contained in these Terms shall be interpreted as a transfer, assignment, or sale of copyright ownership.

9. Rights Granted to Clients

9.1 Client License

Unless otherwise stated in a written agreement, Taylor Ledgerwood Photography grants Clients a limited, non-exclusive, non-transferable, revocable license to use purchased photographs and videos for their own personal and business promotional purposes.

Permitted uses include, but are not limited to:

  • Personal printing;

  • Personal social media;

  • Personal websites;

  • Business social media pages owned or operated by the Client;

  • Business websites owned or operated by the Client;

  • Advertising the Client's own business;

  • Marketing the Client's own services;

  • Horse sale advertisements;

  • Stallion advertisements;

  • Breeding advertisements;

  • Sponsor recognition posts;

  • Business cards;

  • Brochures;

  • Promotional banners;

  • Booth displays;

  • Client-owned marketing materials.

For purposes of these Terms, "sponsor recognition" means a Client sharing a photograph or video while acknowledging or thanking their own sponsors, partners, or supporters. Sponsor recognition does not authorize the sponsor or any unrelated third party to independently download, reproduce, publish, advertise with, or otherwise use the Content.

The license granted under this section applies only to the Client who purchased or lawfully received the Content from Taylor Ledgerwood Photography.

9.2 Event Organization License

Taylor Ledgerwood Photography may provide photographs or videos directly to rodeos, barrel racing associations, committees, event producers, fairs, clubs, organizations, or similar entities through contracts, written agreements, purchases, or download codes.

Unless otherwise stated in writing, these organizations are granted a limited, non-exclusive, non-transferable license to use the Content provided directly by Taylor Ledgerwood Photography for purposes including:

  • Event promotion;

  • Event advertising;

  • Social media;

  • Official websites;

  • Printed promotional materials;

  • Awards presentations;

  • Year-end banquets;

  • Recognition programs;

  • Historical documentation of the organization's events.

This license applies only to Content provided directly by Taylor Ledgerwood Photography and does not authorize redistribution to third parties.

9.3 Uses Requiring Additional Written Permission

The following uses require prior written authorization from Taylor Ledgerwood Photography unless otherwise provided through a separate licensing agreement:

  • Use by sponsors, manufacturers, brands, retailers, or businesses other than the licensed Client;

  • National or regional advertising campaigns;

  • Product packaging;

  • Television or streaming advertisements;

  • Editorial publication;

  • Magazine publication;

  • Book publication;

  • Merchandise;

  • Stock photography;

  • Licensing to third parties;

  • Sale or resale of the Content;

  • Any use not expressly permitted under these Terms.

10. Prohibited Uses

Except as expressly authorized in writing, no User, Client, or third party may:

  • Copy, duplicate, reproduce, distribute, or republish Content;

  • Download photographs or videos without authorization;

  • Remove, crop, obscure, or alter logos, watermarks, or copyright notices;

  • Edit, manipulate, retouch, recolor, or otherwise modify Content;

  • Create derivative works;

  • Misrepresent ownership or authorship;

  • Transfer or sublicense any license granted under these Terms;

  • Allow unrelated third parties to use licensed Content;

  • Use Content in connection with unlawful, defamatory, misleading, or offensive material.

11. Artificial Intelligence and Machine Learning

Taylor Ledgerwood Photography expressly prohibits the use of any Content for the development, training, testing, validation, improvement, operation, or support of artificial intelligence systems, machine learning technologies, computer vision systems, or similar technologies without prior written consent.

Prohibited uses include, but are not limited to:

  • Artificial intelligence training;

  • Machine learning training;

  • Dataset creation;

  • Data mining;

  • Image scraping;

  • Automated content harvesting;

  • Model fine-tuning;

  • Embedding into AI datasets;

  • Generative image creation;

  • Generative video creation;

  • Style transfer;

  • Image-to-image generation;

  • Video-to-video generation;

  • Deepfake creation;

  • Face swapping;

  • Facial recognition datasets;

  • Object recognition datasets;

  • Reverse engineering artistic style;

  • AI-assisted recreation of photographs or videos;

  • Uploading Content to any AI platform for analysis, transformation, enhancement, or generation of derivative works.

This prohibition applies regardless of whether the AI system is commercial, academic, governmental, open-source, privately developed, or intended for personal use.

No rights granted under these Terms authorize any AI-related use of the Content.

12. Gallery Use Policy

Online galleries are provided solely for viewing, selecting, purchasing, and downloading authorized Content.

Gallery access does not transfer ownership of any Content.

Clients are responsible for maintaining the confidentiality of gallery links and passwords that are provided directly to them.

Taylor Ledgerwood Photography reserves the right to archive, deactivate, or permanently remove galleries after the designated availability period.

Clients are responsible for downloading purchased digital files and maintaining their own backups.

The Company does not guarantee permanent storage or indefinite availability of any gallery or digital file.

13. Unauthorized Copying and Social Media Use

All Content published or distributed by Taylor Ledgerwood Photography, including Content displayed on the Company's website, online galleries, social media platforms, advertisements, marketing materials, and other digital or printed media, remains the exclusive copyrighted property of Taylor Ledgerwood Photography.

The publication of Content on social media does not constitute a transfer of copyright ownership or grant permission to copy, download, save, screenshot, screen record, reproduce, modify, distribute, or otherwise use the Content beyond the sharing features provided by the applicable platform.

Without prior written authorization, Users shall not:

  • Download or save photographs or videos from social media platforms;

  • Screenshot photographs, videos, stories, reels, or other Content;

  • Screen record any Content;

  • Photograph or record Content displayed on another electronic device;

  • Use third-party software, browser extensions, or applications to download or capture Content;

  • Save preview images from online galleries;

  • Circumvent watermark protection or gallery security features;

  • Remove or alter logos, watermarks, captions, or copyright notices;

  • Repost downloaded copies of Content;

  • Use Content for personal, commercial, promotional, editorial, educational, or AI-related purposes beyond the licenses expressly granted by these Terms.

Taylor Ledgerwood Photography encourages Clients and supporters to share Content using the social media platform's built-in sharing features, such as sharing posts or stories directly from the original source, provided the Content remains unaltered and proper attribution to Taylor Ledgerwood Photography is maintained.

Unauthorized reproduction, downloading, screenshotting, screen recording, or other unauthorized use of Content constitutes copyright infringement and may result in the enforcement of all available legal and equitable remedies, including the termination of gallery access, revocation of licenses, refusal of future services, copyright enforcement actions, takedown requests, recovery of licensing fees, and any other remedies available under applicable law.

14. Ordering, Payments, and Pricing

Taylor Ledgerwood Photography offers photographs, videos, digital products, prints, and other Products and Services for purchase through the Company's Website, online galleries, and other authorized sales channels.

All prices are listed in U.S. Dollars (USD) unless otherwise stated.

Taylor Ledgerwood Photography reserves the right to modify pricing, products, packages, promotions, and available Services at any time without prior notice. Such changes shall not affect orders that have already been accepted or contracts that have already been executed unless otherwise agreed in writing.

Accepted methods of payment may include:

  • Credit cards;

  • Debit cards;

  • Cash;

  • Venmo;

  • PayPal; and

  • Other payment methods approved by Taylor Ledgerwood Photography.

Credit and debit card payments made through the Website are securely processed by third-party payment providers. Taylor Ledgerwood Photography does not intentionally store complete payment card information.

Cash, Venmo, and PayPal payments may be accepted for in-person purchases or other transactions approved by Taylor Ledgerwood Photography.

Orders will not be considered complete until payment has been successfully received and processed.

Taylor Ledgerwood Photography reserves the right to refuse or cancel any order for reasons including, but not limited to, suspected fraud, pricing errors, technical issues, payment disputes, or violations of these Terms.

15. All Sales Final

Due to the custom nature of photography, videography, digital products, and made-to-order print products, all sales are final.

Taylor Ledgerwood Photography does not provide refunds, returns, exchanges, credits, or cancellations after an order has been placed or a Product has been delivered, except where required by applicable law.

Any replacement of a damaged or defective print product shall be handled at the sole discretion of Taylor Ledgerwood Photography and may require supporting documentation or return of the original product.

Nothing in this section limits any rights that cannot legally be waived under applicable law.

16. Digital Downloads

Digital downloads are licensed, not sold.

Upon purchase, Clients receive the license described in these Terms and do not acquire ownership of the underlying copyright.

Clients are responsible for downloading purchased files within the time period provided by Taylor Ledgerwood Photography.

Following delivery, Clients are strongly encouraged to maintain multiple backup copies of all purchased digital files.

Taylor Ledgerwood Photography is not responsible for the loss of digital files resulting from:

  • Failure to download files before gallery expiration;

  • Accidental deletion;

  • Device failure;

  • Cloud storage issues;

  • Hardware failure;

  • Software corruption;

  • Loss of passwords or login credentials; or

  • Other circumstances beyond the Company's reasonable control.

Taylor Ledgerwood Photography may, but is not obligated to, retain archived copies of delivered Content.

The Company makes no guarantee that previously delivered Content will remain available for future download.

17. Print Products

Print products offered by Taylor Ledgerwood Photography are produced by professional print laboratories selected by the Company.

Actual printed colors may vary slightly from on-screen previews due to differences in monitor calibration, device settings, printing processes, lighting conditions, and printing materials.

Such variations are considered normal and shall not constitute defects.

Taylor Ledgerwood Photography is not responsible for delays caused by shipping carriers, weather conditions, supply chain interruptions, customs processing, or other events beyond the Company's reasonable control.

Clients are responsible for verifying shipping information before placing an order.

Taylor Ledgerwood Photography is not responsible for orders shipped to incorrect addresses provided by the Client.

18. Delivery of Products and Services

Delivery timelines may vary depending upon the nature of the Products or Services purchased.

Estimated delivery dates provided by Taylor Ledgerwood Photography are estimates only and do not constitute guarantees unless expressly stated in writing.

Factors that may affect delivery include, but are not limited to:

  • Seasonal workload;

  • High order volume;

  • Equipment maintenance;

  • Travel schedules;

  • Weather;

  • Illness;

  • Family emergencies;

  • Force majeure events; and

  • Other circumstances beyond the Company's reasonable control.

Taylor Ledgerwood Photography will make reasonable efforts to communicate significant delays when practical.

19. Gallery Availability and Expiration

Online galleries are provided as a temporary method of viewing, purchasing, and downloading Content.

Unless otherwise stated in writing or provided under a separate agreement, galleries may expire and be removed at the discretion of Taylor Ledgerwood Photography.

Clients are solely responsible for:

  • Reviewing gallery contents;

  • Purchasing desired Products before gallery expiration;

  • Downloading purchased digital files;

  • Maintaining personal backups of all purchased Content.

Taylor Ledgerwood Photography shall have no obligation to restore expired galleries or recover deleted files.

If restoration is possible, additional archival or administrative fees may apply.

20. Promotions, Discounts, and Gift Certificates

From time to time, Taylor Ledgerwood Photography may offer promotions, coupon codes, discounts, gift certificates, giveaways, or other special offers.

Unless otherwise stated:

  • Promotional offers may not be combined;

  • Promotional offers have no cash value;

  • Promotional offers may not be transferred or resold;

  • Promotional offers may expire without notice;

  • Promotional offers may be modified or discontinued at any time.

Taylor Ledgerwood Photography reserves the right to refuse any promotional offer obtained through fraud, abuse, technical error, or other unauthorized means.

21. Service Availability

Taylor Ledgerwood Photography reserves the right to modify, suspend, discontinue, or limit any Product, Service, package, gallery, pricing structure, or feature offered through the Website at any time.

Nothing contained within these Terms shall be interpreted as guaranteeing the continued availability of any specific Product, Service, event coverage, package, or offering.

The Company may decline bookings or orders that, in its sole discretion, fall outside its availability, business practices, or operational capacity.

22. Website Security and Prohibited Conduct

Taylor Ledgerwood Photography is committed to maintaining the integrity, security, and availability of its Website, online galleries, client portals, and related systems.

Users shall not engage in any activity that compromises or attempts to compromise the security, functionality, or availability of the Website or any related systems.

Without limitation, Users shall not:

  • Attempt to gain unauthorized access to the Website, client galleries, user accounts, servers, databases, payment processing systems, or any related networks or systems;

  • Circumvent, disable, interfere with, or otherwise compromise security measures implemented by Taylor Ledgerwood Photography or its service providers;

  • Probe, scan, or test the vulnerability of any system without authorization;

  • Introduce malware, viruses, ransomware, spyware, malicious code, bots, automated scripts, or other harmful technologies;

  • Attempt to intercept, collect, access, or misuse confidential information, personal information, login credentials, or payment-related information belonging to Taylor Ledgerwood Photography, its Clients, or other Users;

  • Engage in phishing, identity impersonation, fraudulent transactions, payment fraud, unauthorized chargebacks, or other deceptive practices;

  • Use the Website in any manner intended to disrupt, overload, impair, damage, or interfere with its operation.

Taylor Ledgerwood Photography reserves the right to suspend or terminate access to the Website, cancel pending orders or services, and pursue all legal and equitable remedies available under applicable law in response to any suspected violation of this Section.

23. Third-Party Services

Taylor Ledgerwood Photography utilizes third-party service providers to assist in the operation of its business, including, but not limited to, website hosting, online galleries, payment processing, cloud storage, email communications, printing laboratories, shipping providers, and social media platforms.

These third-party providers operate independently and maintain their own terms of service and privacy practices.

Taylor Ledgerwood Photography is not responsible for the acts, omissions, policies, availability, security practices, or performance of any third-party provider.

Clients acknowledge that their use of third-party services may also be subject to the applicable terms, conditions, and privacy policies of those providers.

24. Website Availability

Taylor Ledgerwood Photography makes commercially reasonable efforts to maintain the availability and functionality of the Website.

However, uninterrupted or error-free access cannot be guaranteed.

The Website, online galleries, client portals, and related services may occasionally become unavailable due to maintenance, technical difficulties, software updates, internet disruptions, third-party outages, cyber incidents, or other circumstances beyond the Company's reasonable control.

Temporary interruptions shall not constitute a breach of these Terms.

25. Security Disclaimer

Taylor Ledgerwood Photography implements reasonable administrative, technical, and organizational safeguards intended to protect the security of its Website, client information, online galleries, and related systems.

However, no website, online platform, network, internet transmission, or electronic storage system can be guaranteed to be completely secure.

Accordingly, Taylor Ledgerwood Photography does not warrant or guarantee that its Website, online galleries, or third-party services will be free from unauthorized access, cyberattacks, hacking attempts, malware, viruses, ransomware, data breaches, service interruptions, payment processor security incidents, or other security events.

To the fullest extent permitted by applicable law, Taylor Ledgerwood Photography shall not be liable for damages arising from security incidents, unauthorized access, cyberattacks, third-party service interruptions, payment processor security incidents, internet outages, or other events beyond the Company's reasonable control.

Nothing contained in this Section shall limit liability that cannot lawfully be excluded under applicable law.

26. Limitation of Liability

To the fullest extent permitted by applicable law, Taylor Ledgerwood Photography shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to the use of the Website, Products, Services, online galleries, or any Content.

This limitation includes, but is not limited to, damages arising from:

  • Loss of profits;

  • Loss of business opportunities;

  • Loss of goodwill;

  • Loss of data;

  • Device failures;

  • Software failures;

  • Internet outages;

  • Third-party platform outages;

  • Delayed deliveries;

  • Shipping delays;

  • Corrupted files;

  • Inability to access previously delivered Content;

  • Unauthorized use of third-party services.

In no event shall the total liability of Taylor Ledgerwood Photography exceed the amount actually paid by the Client for the applicable Product or Service giving rise to the claim.

Nothing contained herein shall limit liability where such limitation is prohibited by applicable law.

27. Indemnification

Users and Clients agree to indemnify, defend, and hold harmless Taylor Ledgerwood Photography, its owner, employees, contractors, representatives, successors, and assigns from and against any and all claims, liabilities, damages, judgments, settlements, losses, costs, expenses, and reasonable attorneys' fees arising out of or relating to:

  • A violation of these Terms;

  • Misuse of the Website or Content;

  • Unauthorized use of photographs or videos;

  • Violation of applicable laws or regulations;

  • Infringement of the rights of any third party;

  • Fraudulent, negligent, or unlawful conduct by the User or Client.

This obligation survives the termination of these Terms.

28. Force Majeure

Taylor Ledgerwood Photography shall not be liable for any delay, interruption, or failure to perform resulting from events beyond its reasonable control.

Such events include, but are not limited to:

  • Natural disasters;

  • Severe weather;

  • Floods;

  • Fires;

  • Earthquakes;

  • Pandemics;

  • Public health emergencies;

  • Government actions;

  • War;

  • Terrorism;

  • Civil unrest;

  • Labor disputes;

  • Power outages;

  • Internet outages;

  • Cyberattacks;

  • Failure of third-party providers;

  • Transportation disruptions;

  • Supply chain interruptions;

  • Equipment failures;

  • Serious illness or injury;

  • Family emergencies; or

  • Any other event beyond the reasonable control of Taylor Ledgerwood Photography.

Performance shall be suspended for the duration of the affected event without constituting a breach of these Terms.

29. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles.

Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in a court of competent jurisdiction located within the State of Michigan, and the parties consent to the personal jurisdiction of such courts.

30. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

Any invalid or unenforceable provision shall be interpreted or modified only to the extent necessary to render it enforceable while preserving the original intent of the provision whenever possible.

31. Entire Agreement

These Terms, together with the Privacy Policy and any separate written contracts or agreements entered into between Taylor Ledgerwood Photography and the Client, constitute the entire agreement relating to the use of the Website, Products, and Services.

In the event of a conflict between these Terms and an individually executed written contract, the written contract shall control with respect to the specific Products or Services covered by that contract.
